1. General

1.1 The website vfm.digital (the “Website“) is operated by Tsach Yitzhak Yazdi, a licensed dealer (Osek Murshe) registered in Israel, doing business under the trade name VFM – Value For Marketing (“VFM“, “we” or “us“).

1.2 These Terms of Use (the “Terms“) apply to any use of the Website, on any device. By browsing the Website, viewing its content or submitting details through it, you agree to these Terms. If you do not agree to the Terms, in whole or in part, please do not use the Website.

1.3 The Website’s Privacy Policy and Accessibility Statement form an integral part of these Terms.

1.4 Section headings are for convenience only and shall not be used to interpret these Terms.

1.5 The Website is published in Hebrew and in English. This English version is a translation; in the event of any conflict between the versions, the Hebrew version shall prevail.

1.6 If any provision of these Terms is held void or unenforceable, the remaining provisions shall remain in full force and effect.

2. The Website and the Services

2.1 The Website is an informational website presenting VFM’s digital marketing and advertising services, including search engine optimization (SEO), paid advertising on Google, Facebook and Instagram, social media management, website design and development, content creation and production, marketing and strategy consulting, and automation and CRM development.

2.2 No purchases or payments are made on the Website. Contacting us through the Website, by phone, WhatsApp or email is a request to be contacted only, and does not create any engagement or obligation for either party.

2.3 Any engagement to receive services from VFM will be made through a separate written quote or agreement, which will set out the scope of services, fees, timelines and other terms. With respect to the services, the separate agreement shall prevail over these Terms.

2.4 Service descriptions on the Website are for general information only, and VFM may change the services it offers at any time.

3. Website Content Is Not Advice and Not a Guarantee of Results

3.1 The content on the Website, including blog articles, is provided for general information only. It does not constitute marketing, business, legal, financial or other advice tailored to your circumstances, and is not a substitute for personal advice from a professional.

3.2 The results of marketing and advertising activity depend on many factors beyond VFM’s control, including changes to the algorithms and policies of platforms such as Google, Meta and TikTok, market competition, advertising budget, the quality of the business’s product or service, and market conditions. Accordingly, examples, figures, success stories and testimonials on the Website do not constitute a promise or guarantee of similar results or of any result.

3.3 We strive to keep the information on the Website accurate and up to date, but it may contain errors, inaccuracies or outdated information. VFM may correct, update or remove content at any time.

4. Client Testimonials

Client testimonials on the Website reflect the personal experience of the clients who gave them and are published with their consent. They do not guarantee that a similar experience or similar results will be achieved in any other case.

5. Intellectual Property

5.1 All rights in the Website and its content – including text, design, graphics, images, videos, the VFM logo and name, source code and site structure – belong to VFM or to third parties that have licensed them to VFM, and are protected by law, including the Israeli Copyright Law, 5768-2007, and the Trade Marks Ordinance [New Version], 5732-1972.

5.2 You may not copy, reproduce, distribute, publish, publicly display, modify, translate, create derivative works from or make any commercial use of the Website’s content, in whole or in part, without VFM’s prior written consent, except as permitted by law (such as fair use). You may not automatically collect the Website’s content in order to copy or republish it, except for ordinary crawling by search engines and AI services for the purpose of displaying information and referring users to the Website.

5.3 Third-party names and marks shown on the Website (such as Google, Facebook, Instagram, TikTok and YouTube, as well as client names and logos) are the property of their respective owners and are displayed only to describe the services. Their mention does not imply any partnership, sponsorship or business relationship with their owners.

5.4 If you believe that content on the Website infringes your rights, please contact us using the details in section 13 and we will review your request promptly.

6. Permitted and Prohibited Use

6.1 You may use the Website for lawful purposes only and in accordance with these Terms. Use of the Website and submission of details through it are intended for persons aged 18 or over; a minor may submit details only with the consent of a parent or guardian.

6.2 When using the Website, you may not:

  • submit false details or details of another person without their authorization, or impersonate any person or entity;
  • send advertising, repeated messages or offensive, threatening, defamatory or unlawful content through the Website’s forms;
  • act in a way that may disrupt the proper operation of the Website, overload it, interfere with it or circumvent its security measures;
  • introduce viruses, malicious code or any other harmful component into the Website, or attempt to gain unauthorized access to its systems or servers;
  • use automated tools (such as bots) to submit inquiries or perform actions on the Website.

6.3 VFM may block access to the Website or decline to handle inquiries from anyone acting in breach of these Terms, without derogating from any other right available to it under law.

7. Submitting Details and Contacting Us

7.1 When you submit details on the Website (such as your name, phone number, email address and message) or contact us by WhatsApp, phone or email, you represent that the details are accurate and complete, and that they are your own or that you are authorized to provide them.

7.2 You are under no legal obligation to provide details, and providing them depends on your free will and consent. However, without contact details we will not be able to get back to you. Your details will be used in accordance with the Privacy Policy.

7.3 VFM will send you advertising messages (such as newsletters, promotions and marketing updates) by email, SMS, WhatsApp or any other means only if you have given your express consent, in accordance with Section 30A of the Israeli Communications Law (Telecommunications and Broadcasting), 5742-1982. You may withdraw your consent at any time using the unsubscribe link in the message or by contacting us. A direct reply to your inquiry is not an advertising message.

8. Third-Party Links and Services

8.1 The Website includes links to and components of third parties, such as WhatsApp, Facebook, Instagram, X and Google services. These websites and services are not controlled by VFM, and their use is subject to their own terms of use and privacy policies.

8.2 VFM is not responsible for the content, availability or operation of third-party websites and services, and the inclusion of a link does not imply endorsement or approval of their content.

9. Limitation of Liability

9.1 The Website and its content are provided “AS IS” and “as available”. VFM does not warrant that the Website will operate without interruptions, faults or errors, or that it will be free from unauthorized access, viruses or harmful components.

9.2 Subject to applicable law, VFM, its owner, employees and anyone acting on its behalf shall not be liable for any damage, whether direct or indirect, loss or expense incurred by you or any third party as a result of using the Website, being unable to use it, or relying on content appearing on it or on websites linked from it. This limitation shall not apply where the law does not permit an exemption from liability.

9.3 VFM’s liability toward its clients in connection with the provision of services shall be governed by the separate engagement agreement.

10. Changes to the Website and the Terms

VFM may change the Website’s structure, its content, the services presented on it and these Terms, and may discontinue the Website, at any time. The binding version is the version published on the Website at the time of use, and the date of the last update appears at the top of this document.

11. Accessibility

We work to make the Website accessible to people with disabilities. Details about our accessibility arrangements and how to contact our accessibility coordinator appear in the Accessibility Statement.

12. Governing Law and Jurisdiction

These Terms and the use of the Website are governed exclusively by the laws of the State of Israel. Subject to applicable law, the competent courts in the Tel Aviv District shall have exclusive jurisdiction over any matter relating to the Website and these Terms.
